Terms of Service

Este documento está en inglés y la versión en inglés es la que rige. No ofrecemos traducción para evitar diferencias de significado.

These Terms are the agreement between you and diferent LLC for using Relay. Please read them. Where they talk about consumers in the European Union, the European Economic Area, the United Kingdom or Switzerland, those parts give you rights in addition to the rest.

1. Who we are and what these Terms cover #

Relay is an email app for Mac, iPhone and the web, with an AI assistant, read status, large-file links and a Relay account that keeps your settings in sync. It is made and run by diferent LLC, a Delaware limited liability company at 8 The Green, STE A, Dover, DE 19901, USA ("we", "us", "our"). Diferent Labs is our brand.

These Terms apply to the Relay apps for Mac and iPhone, Relay on the web at relay.diferentlabs.com/app, the Relay account and server, large-file links, and the website at relay.diferentlabs.com (together, "Relay"). They also include our Acceptable Use Policy and Refund and Cancellation Policy. Our Privacy Policy explains how we handle personal data. Business customers can also accept our Data Processing Addendum.

By creating a Relay account, or by using Relay, you agree to these Terms. If you use Relay for an organisation, you confirm you may accept these Terms for it, and "you" includes that organisation.

2. Who can use Relay #

You must be at least 16 years old, or older if the law where you live sets a higher age for agreeing to online services or to the processing of your personal data without a parent's consent. Relay is not meant for children, and you may not use it if you are younger than that age.

You may not use Relay if you are barred from doing so under the laws that apply to you, including the sanctions and export laws in section 25.

3. Your Relay account #

Relay has no separate password. Your Relay account is created the first time you prove that you control a mailbox, either by signing in with Google or by receiving a one-time code at that address. You can add more mailboxes to the same account. Each mailbox address belongs to one Relay account.

  • Keep your devices, your mailboxes and the codes we send you secure. Anyone who controls one of your mailboxes can sign in to your Relay account.
  • You are responsible for what happens in your account. Tell us at once at marek@diferentlabs.com if you think someone else has used it. You can also sign out a device, or every device, by asking us.
  • Give us accurate information, and only connect mailboxes you are allowed to use.

4. Your license to use Relay #

Subject to these Terms, we give you a personal, worldwide, non-exclusive, non-transferable, revocable license to install and use the Relay apps, and to use Relay's online services, for your own personal or internal business purposes, within the plan you have.

You may not, and may not help anyone else to: copy, sell, rent, sublicense or resell Relay; reverse engineer, decompile or try to extract its source code, except where the law allows it despite this limit; remove our notices; get around its limits or security; or use it to build a competing product. Relay, its design, code and brand belong to us and our licensors. These Terms do not give you any right to our names, logos or trademarks.

The Mac app updates itself. The iPhone app is distributed through Apple, and Apple's terms for apps also apply to it. Apple is not responsible for Relay or its support.

If you send us ideas or feedback, we may use them freely, without paying you or naming you.

5. Plans: Free and Pro #

Relay has a Free plan and a paid Pro plan. The current features, limits and prices of each are on our pricing page and in the app, and they are part of these Terms. On the day these Terms were last updated they were:

FreePro
PriceNo charge12 USD a month, or 120 USD a year, plus any tax
Mailboxes2Unlimited, under fair use
AI actions20 a day200 a day
Read status30 tracked messages a monthUnlimited, under fair use
Large-file linksFiles up to 100 MB, 1 GB in storageFiles up to 2 GB, 10 GB in storage
SupportBy emailPriority support: your questions answered first (section 17)

Pro can start with a 14-day free trial (section 8). Daily allowances reset at midnight UTC; monthly ones at the start of each calendar month, UTC. Some features depend on where you use Relay: for example, Relay on the web currently takes attachments and large files up to 100 MB, and the iPhone app does not sell subscriptions. Pro applies to your Relay account, so it works on every device where you sign in to that account.

We may change what the Free plan includes, as long as we tell you in advance where the change takes something away (section 26). We may add features to either plan at any time.

6. Buying Pro: sold through Link, Stripe is the merchant of record #

Pro is sold on the web and in the Mac app through Stripe Managed Payments, Stripe's merchant of record service. Your purchase is "Sold through Link": Link is Stripe's checkout and payment service, and at checkout, on your receipts and for help with your order, you deal with Link. For every purchase, Stripe, through Link, is the merchant of record: it sells you the subscription, takes the payment, calculates and collects sales tax, VAT, GST or similar taxes, and handles payment and subscription support, refunds and disputes. The Stripe company you contract with for Link depends on where you live and is named in Link's terms at link.com/terms. We remain responsible for Relay itself.

  • Receipts and invoices are emailed to you from Link, with Relay's name on them. Your card or bank statement shows LINK.COM* followed by our statement descriptor (a short name for Relay).
  • Help with a payment: you can contact Link support about a charge, a refund or your subscription, and see your orders, update your payment method and cancel or change your subscription at link.com. You can also write to us; questions about using Relay come to us.
  • Link's terms for purchases sold through Link (the Sold Through Link Terms, part of Link's terms) and the terms shown at checkout govern the purchase itself (payment, tax, receipts and the seller's obligations for the sale). These Terms govern your use of Relay. If the two conflict about the purchase, Link's terms win for the purchase.
  • Prices are shown in US dollars. At checkout Stripe may show the price in your local currency, and it adds the taxes that apply where you are. The total you will pay is shown before you confirm.
  • Stripe and Link handle your payment details under their own privacy policy. We never see or store your full card number.
  • Your bank or card issuer may charge fees, such as for currency conversion. Those are between you and them.

Nothing is sold inside the iPhone app.

7. Automatic renewal and cancellation #

Pro renews automatically. A monthly plan renews every month, and a yearly plan every year, at the price shown when you subscribed (or a new price we told you about under section 9), plus any tax, and is charged to the payment method you gave at checkout, until you cancel. You can cancel at any time, online, in the customer portal linked from the app's Settings and from your receipts, at link.com, or by emailing us. Cancelling stops the next renewal; you keep Pro until the end of the period you already paid for, and then your account moves to the Free plan.

  • Before you subscribe, the checkout shows the price, the billing period, when the first charge happens and that the plan renews until cancelled. Link sends you a confirmation by email.
  • Cancelling online takes no more steps than subscribing did. You never have to call or talk to anyone to cancel.
  • For yearly plans, we or Stripe (through Link) will remind you by email before each renewal, where the law requires it, with the price and how to cancel.
  • If a payment fails, Stripe may try again for a short time. If it still fails, your account moves to the Free plan.
  • Refunds are explained in our Refund and Cancellation Policy. If you are a consumer in the EU, EEA, UK or Switzerland, you also have the right of withdrawal described there. As merchant of record, Stripe may also refund a payment within 60 days of the transaction, at its discretion.

8. Free trial #

Pro may start with a 14-day free trial, once per person (we may refuse a second trial for the same person, mailbox or payment method). During the trial you have Pro and pay nothing. Unless you cancel before the trial ends, your Pro plan starts at the end of the trial and you are charged the price you chose, monthly or yearly, and then on every renewal. You can cancel the trial at any time in the customer portal, at link.com or by emailing us, and you will not be charged. Before a trial ends we will send you a reminder by email where our payment provider's reminder is available for your purchase, or where the law requires one.

9. Price changes #

We may change Pro's price. A new price never applies to a period you have already paid for. We will tell you by email at least 30 days before a higher price applies to your next renewal, and you can cancel before then. If you are a consumer and the law where you live requires your consent to a price increase, we will ask for it, and if you do not give it, your plan ends at the end of the paid period. Taxes may change without notice when the law changes them.

10. Limits and fair use #

"Unlimited" means unlimited for the normal use of one person reading and sending their own mail, whether personal or for work. It does not cover bulk or automated sending, reselling Relay, or shared use by many people through one account. To keep Relay working for everyone, every plan has technical safeguards, such as daily caps on AI requests, tracked messages and uploads, that a normal person does not reach. If your use is far above typical use, or puts Relay or others at risk, we may contact you, slow or limit the affected feature, or ask you to change how you use it. We will not end a paid plan for fair-use reasons without first telling you and giving you a reasonable chance to change your use, unless it is abuse under section 11.

When you reach an allowance, Relay tells you. Your mail keeps working: only the feature with the allowance waits until it resets.

11. Acceptable use #

You must follow our Acceptable Use Policy. In short: no spam or bulk unsolicited mail, no phishing, malware or fraud, nothing illegal, no harassment, no scraping or attacking Relay, no abuse of the AI features, no getting around limits, and no using read status to stalk or unlawfully watch anyone.

12. Your content and your mail #

Your mail, attachments, contacts, drafts, notes, files and settings ("your content") stay yours. You give us a limited, worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display your content only as needed to provide, secure and support Relay for you, as described in our Privacy Policy, and to comply with the law. This license ends when your content is deleted from Relay, except for copies we must keep by law or that remain for a short time in backups.

We do not sell your content, do not use it for advertising, and do not use it to train AI models. Our team does not read your mail, except when you ask us to (for example, to help with a problem), when it is needed for security or to investigate abuse, or when the law requires it.

You are responsible for your content and for having the right to send it. Where your content includes personal data about other people, you are responsible for having a lawful basis to process it with Relay.

13. The AI features #

Relay's assistant and other AI features read the mail and files that a task needs and send them, through Relay's server, to our AI provider (Anthropic's Claude) to produce summaries, cards, drafts, sorting and answers. When you ask, the assistant can also search the web. The assistant may work on new mail by itself when it is turned on; you can turn it off in Settings.

  • AI can be wrong. Outputs may be inaccurate, incomplete or out of date, even when Relay checks them against your mail. They are suggestions, not advice. Do not rely on them for legal, medical, financial or other professional decisions without checking.
  • You review before anything is sent. The assistant prepares replies and finds files. It never sends, forwards or deletes mail by itself. Nothing goes out until you press Send, and what you send is your message and your responsibility.
  • Emails can contain instructions written to trick AI. Relay is designed to ignore them and to warn you, but it cannot catch everything. Read what you send.
  • Outputs may be similar for different people, and we do not claim ownership of the outputs Relay produces for you. You may use them as you like, subject to these Terms and the law.
  • Do not use the AI features in breach of the Acceptable Use Policy, or to make decisions with legal or similarly significant effects on people without a human review.

14. Read status and link tracking: your responsibility for consent #

Tracking the people you email is your decision and your legal responsibility. Read status and link tracking are on by default in the Relay apps. Before you use them, you must make sure that tracking each recipient is lawful where that recipient is, and, where the law requires it, tell recipients or get their consent first. In the EU, the EEA and the UK, the ePrivacy rules, together with the GDPR and UK GDPR, usually require the recipient's prior consent for tracking pixels and tracked links. If you do not have the notice, consent or other legal basis required, turn tracking off. We do not get consent for you, and we do not check whether you have it.

Read status adds a small invisible image (a tracking pixel) to the mail you send, and link tracking rewrites its links, so Relay can tell you when a recipient opened the message, roughly where and on what kind of device, for how long, and which links they clicked. Both are on by default for new messages; you can turn each off in Settings, or turn tracking off for one message in the composer.

In some places, the law requires you to tell recipients, or to get their consent, before you track whether and when they open your email or click its links. This is the case in particular in the EU, the EEA and the UK under the ePrivacy rules (and the national laws that implement them, together with the GDPR and UK GDPR), where storing or reading information on a recipient's device, as a tracking pixel does, usually needs the recipient's prior consent unless an exception applies. Other countries and US states have their own rules about privacy, monitoring and marketing email. You agree to:

  • check the rules that apply in each recipient's country before you track them, and tell recipients or get their consent where those rules require it;
  • turn read status and link tracking off where you do not have the notice, consent or other legal basis the law requires, and for any recipient who objects;
  • never use read status to stalk, harass, or covertly monitor anyone, or for unlawful surveillance;
  • respect a recipient's request to stop tracking them.

For read status, we process the data about your recipients on your behalf and on your instructions, as explained in our Privacy Policy.

15. Large-file links #

A file too large for email can be uploaded to Relay and sent as a link. Anyone with the link can download the file and sees your name, the file's name and size, and until when it is available. A file is kept for 30 days from when its upload started, or until you delete it, and then it is removed. You are responsible for who you share links with and for having the right to share the file. Do not use links to host or distribute content that breaks the law or the Acceptable Use Policy; we may remove such files.

16. Third-party mail providers and services #

Relay connects to mail services you choose, such as Gmail, Google Workspace, iCloud, Outlook, Fastmail or any IMAP and SMTP server ("mail providers"). Your mail lives with your mail provider, under their terms. We are not responsible for mail providers, including their availability, limits, spam filtering, how they store or deliver mail, or changes to how they let apps connect. When you connect Gmail with Google, Google's terms and its permissions also apply, and you can revoke Relay's access in your Google account at any time.

Relay also uses other services to work, listed on our subprocessors page. Links to other websites are not under our control.

17. Availability, changes and support #

We work to keep Relay fast and available, but we do not promise it will always be available, uninterrupted or free of errors, and we do not offer a service level agreement. Relay depends on the internet, on your devices, on mail providers and on our own providers. We may change, improve or stop parts of Relay. If we stop a feature that is a main reason you pay for Pro, or stop Relay altogether, we will tell you in advance where we reasonably can, and refund the unused part of any prepaid period.

Support is by email at marek@diferentlabs.com. We aim to answer within two business days. With Pro, your questions about Relay, sent by email or from the app, are answered first: this priority support is part of the Pro software subscription, not a separate service, and it does not include consulting, setup, development or other professional services. For help with a payment, you can also contact Link support (section 6).

18. Suspension and termination #

You can stop using Relay at any time, and you can delete your account yourself in the app's Settings, or ask us to (section 19). Cancelling Pro is explained in section 7.

We may suspend or end your access to Relay, or a feature, if you seriously or repeatedly break these Terms or the Acceptable Use Policy, if we must do so by law, or if your use creates a risk for Relay, for other people or for us. Where it is reasonable, we will tell you first and give you a chance to fix the problem. If we end your access to Pro without a reason that is your fault, we will refund the unused part of your prepaid period. Sections that by their nature should continue (such as 12, 20 to 24 and 27) survive termination.

19. Exporting and deleting your data #

Your mail stays with your mail provider, so you always have it there, and you can use any other app to read it. You can ask us for a copy of the data your Relay account holds (such as your synced settings, notes and read-status history), in a machine-readable format, by writing to us from an address on your account.

You can delete your Relay account yourself, at any time, in the app. On the Mac and on Relay on the web: Settings, Accounts, in the Relay section, "Delete account". On the iPhone: Settings, in the Relay section, "Delete account". You confirm by typing your email address. Deletion takes effect at once on Relay's server: your account, its mailbox list, devices and sessions, synced settings and data, read-status history (tracked messages, opens and clicks), photos you set for people, the assistant's cards and what became of them, AI usage records, your large-file links and their files, and your subscription record are deleted, and on Relay on the web, your folder on our server with the copy of your mail. If you have an active Pro subscription, it is cancelled at once as part of the deletion; there is no automatic refund, and refunds follow our Refund and Cancellation Policy. Links in mail you sent with link tracking stop redirecting, and your large-file links stop working.

Deleting your Relay account does not delete anything in your mailboxes. What the app stored on your device stays there unless you choose "Remove local data too" (or remove Relay from the device). We keep a record that an account was deleted, by its random ID only, without your email address or any other content. Stripe and Link keep their own records of your purchases, as merchant of record, under their own privacy policy and to meet tax and legal obligations. Copies can remain for a limited time in rolling backups and logs until they age out, as explained in our Privacy Policy, section 8.

You can also ask us to delete your account by writing to us from an address on your account. We then delete it in the same way, promptly once we have confirmed the request comes from you.

20. Disclaimers #

Relay is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that Relay will be uninterrupted, error-free or secure, that AI outputs will be accurate, or that read status will detect every open or only real ones. Read status is an estimate: some mail apps load images in advance, block them or hide who opened a message.

If you are a consumer, you have legal rights that these Terms do not limit. In the EU, the EEA and the UK in particular, digital services must conform to the contract and to the law, and you keep your statutory remedies if they do not. Nothing in these Terms excludes any warranty or right that cannot be excluded under the law that applies to you.

21. Limitation of liability #

To the fullest extent the law allows:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or data, arising from Relay or these Terms, even if we were told they were possible;
  • our total liability for all claims about Relay or these Terms is limited to the greater of (a) the amounts you paid for Relay in the 12 months before the event that gave rise to the claim, and (b) 50 USD.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or any other liability that cannot be limited or excluded by law.

If you are a consumer in the EU, EEA, UK or Switzerland, the two limits above do not apply to you. Instead, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or of our failing to use reasonable care and skill. Loss is foreseeable if it is obvious it will happen, or if both of us knew it might happen when you started using Relay. We are not responsible for loss that is not foreseeable, and we do not supply Relay for commercial resale; if you use Relay for business purposes, we are not liable to you for loss of profit, business or business opportunity.

22. Indemnity (business users) #

If you use Relay for a business, an organisation or a profession, you will defend and indemnify diferent LLC and its members, staff and contractors against third-party claims, and the resulting losses, costs and reasonable legal fees, arising from your content, your use of Relay in breach of these Terms or the law (including your use of read status), or your breach of a third party's rights. We will tell you promptly about any such claim and let you control its defence, and you will not settle it in a way that admits fault for us without our consent. This section does not apply to consumers.

23. Governing law and courts #

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules, and, where it applies, the US Federal Arbitration Act. Subject to section 24, any dispute will be decided only by the state or federal courts located in Delaware, and you and we consent to their jurisdiction.

If you are a consumer outside the United States, this choice of law does not take away the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts of that country. If you are a consumer in the EU, you may also use the European Commission's information on out-of-court dispute resolution; we are not obliged to take part in an alternative dispute resolution procedure, but we will consider it in good faith.

24. Dispute resolution and arbitration (users in the United States) #

This section applies only if you live in the United States. It requires that most disputes be resolved by individual binding arbitration instead of in court, and it waives class actions and jury trials. You can opt out within 30 days, as described below.

  1. Talk to us first. Before starting arbitration or a court case, send us a written notice of your dispute at marek@diferentlabs.com with your name, the address on your account and what you want. We will try to resolve it with you within 60 days.
  2. Arbitration. If we cannot resolve it, any dispute, claim or controversy arising from or about Relay or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or, for business users, its Commercial Arbitration Rules). The arbitrator decides all questions, including whether a dispute must be arbitrated, except as stated in this section. The arbitration may take place by video or in the county where you live. Fees are paid as the AAA's rules provide; for consumer claims, we will pay the filing, administration and arbitrator fees beyond what you would pay to file in court, unless the arbitrator finds your claim frivolous.
  3. Exceptions. Either of us may bring an individual claim in small claims court instead, if it qualifies there. Either of us may ask a court for an injunction to stop the infringement or misuse of intellectual property. Nothing here stops you from reporting a matter to a government agency.
  4. No class actions. You and we may bring claims only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and the arbitrator may not combine claims of more than one person. If this class waiver is found unenforceable for a claim, that claim goes to a court under section 23, not to arbitration, and is paused until the arbitration of the other claims ends.
  5. Jury waiver. Where a dispute goes to court, you and we waive any right to a jury trial, to the extent the law allows.
  6. Opting out. You can opt out of this section by emailing marek@diferentlabs.com within 30 days after you first accept these Terms, with the subject "Arbitration opt-out", your name and the address on your Relay account. Opting out does not affect anything else in these Terms.
  7. Changes. If we change this section, the change does not apply to a dispute we already knew about, and you can reject it by emailing us within 30 days of the change.

This section does not apply to consumers in the EU, EEA, UK or Switzerland, or anywhere else where such clauses are not allowed for consumers.

25. Export controls and sanctions #

Relay is subject to US export control and sanctions laws, and to those of other countries that apply. You may not use, export or re-export Relay in breach of them, including in or for a country or region under comprehensive US sanctions, or if you are on, or owned or controlled by someone on, a US or other applicable list of restricted parties. You confirm that none of this applies to you.

26. Changes to these Terms #

We may update these Terms, for example when Relay changes or the law requires it. We will post the new version here with a new "last updated" date. If a change materially reduces your rights or increases your obligations, we will tell you by email or in the app at least 30 days before it applies, unless the change is required by law or needed urgently for security, in which case we tell you as soon as we can. If you do not agree to a change, you can stop using Relay and cancel Pro before the change applies, and get a refund of the unused part of any prepaid period. If you keep using Relay after it applies, the new Terms apply to you.

27. General #

  • Entire agreement. These Terms, together with the documents they refer to, are the whole agreement between you and us about Relay.
  • Severability. If a court finds part of these Terms unenforceable, the rest stays in force, and that part is applied as far as the law allows.
  • No waiver. If we do not enforce a right at once, we can still enforce it later.
  • Assignment. You may not transfer these Terms without our consent. We may transfer them to a company that takes over Relay, and we will tell you if we do; your rights under these Terms are not reduced by it.
  • Events beyond our control. We are not responsible for delays or failures caused by events we cannot reasonably control.
  • Language. These Terms are written in English. Translations, if any, are for convenience; the English version governs to the extent the law allows.
  • No third-party beneficiaries, except as stated in section 22.

28. Contact and notices #

You can reach us at marek@diferentlabs.com, or by post at diferent LLC, 8 The Green, STE A, Dover, DE 19901, USA. Legal notices to us must be sent to that email address, with a copy by post for notices of a dispute. We send notices to you by email to an address on your Relay account or in the app, and they count as received when sent. More details are on our company information page.
